Part I — Definitions, Acceptance of Terms, Eligibility, and User Accounts
1. Introduction
Welcome to Emitrust, an educational technology platform owned and operated by EmitrustX Innovations Ltd ("Emitrust", "Company", "we", "our", or "us").
Emitrust provides digital platforms, academic resources, artificial intelligence tools, research assistance, digital marketplaces, subscriptions, electronic wallets, referral programs, educational content, and other technology-enabled services designed to support students, researchers, educators, institutions, professionals, and other lawful users.
These Terms and Conditions ("Terms") govern your access to and use of: Emitrust Research, Emitrust AI, Emitrust Marketplace, mobile applications, websites, APIs, software, digital products, wallet services, referral programmes, and any future products or services operated by Emitrust.
By accessing or using any part of the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Platform.
2. Definitions
For the purposes of these Terms:
Account means a registered user profile created on the Platform.
Affiliate means an individual or organization authorised by Emitrust to promote the Platform or its products in exchange for commissions or rewards.
AI Services means all artificial intelligence features provided by Emitrust, including but not limited to research assistance, recommendations, content generation, document analysis, summaries, and future AI-powered products.
Applicable Law means all laws, regulations, governmental directives and judicial decisions applicable to these Terms, including the laws of the Federal Republic of Nigeria.
Content means all text, documents, graphics, images, software, databases, videos, templates, project materials, seminar materials, journals, research works and digital resources available through the Platform.
Digital Product means any downloadable or electronically delivered product available on the Platform.
Emitrust Wallet means the electronic wallet system provided by Emitrust for storing funds, credits, promotional balances or rewards.
Intellectual Property means copyrights, trademarks, patents, designs, trade secrets, software code, databases, logos, brand names and all proprietary rights owned by Emitrust or licensed to Emitrust.
Marketplace means the online platform where eligible digital products and services are offered for purchase.
Platform means all websites, applications, APIs, software, services and technologies owned or operated by Emitrust.
Referral Programme means the system through which eligible users may receive rewards for referring new users subject to applicable programme rules.
User, You, or Your means any person accessing or using the Platform.
3. Acceptance of these Terms
By accessing, browsing, registering for, purchasing from, or otherwise using the Platform, you confirm that you have read and understood these Terms, you agree to comply with these Terms and all applicable laws, you accept our Privacy Policy and other policies published on the Platform, and you understand that certain services may be governed by additional terms.
If you use the Platform on behalf of an organisation, educational institution or business, you represent and warrant that you have authority to bind that organisation to these Terms.
4. Modifications to the Terms
Emitrust reserves the right to modify, amend or update these Terms at any time. Where material changes are made, we may notify users through one or more of: website notice, email notification, dashboard notification, or mobile application notification.
Continued use of the Platform after updated Terms become effective constitutes acceptance of those revised Terms.
5. Eligibility
You may use the Platform only if you have legal capacity to enter into a binding agreement under applicable law, the use of the Platform is lawful in your jurisdiction, and you comply with these Terms.
If you are below the age required to enter into binding contracts in your jurisdiction, you may use the Platform only with the consent and supervision of a parent or legal guardian.
Emitrust reserves the right to refuse access where required by law or where misuse is reasonably suspected.
6. Account Registration
Certain services require registration. When creating an account, you agree to provide information that is accurate, complete, current, and truthful. You are responsible for ensuring your account information remains up to date.
Providing false or misleading information may result in suspension or termination of your account.
7. Account Security
You are responsible for maintaining the confidentiality of your password, authentication credentials, verification codes, security questions, and devices used to access your account.
You agree to choose a strong password, keep your login credentials confidential, notify Emitrust immediately of any suspected unauthorised access, and log out from shared or public devices.
Emitrust will never knowingly request your password via email or unsolicited messages.
8. Responsibility for Account Activities
You are responsible for all activities conducted through your account, whether authorised by you or resulting from your failure to safeguard your credentials — including purchases, wallet transactions, downloads, AI interactions, referral activities, uploaded content, and communications conducted through the Platform.
Where unauthorised use occurs due to security failures attributable to Emitrust, we will investigate and take appropriate corrective measures.
9. Verification
Emitrust may require identity verification for certain services, including high-value transactions, wallet withdrawals, fraud investigations, regulatory compliance, business accounts, and affiliate accounts.
Failure to complete verification where requested may result in restrictions on certain features.
10. Account Suspension and Termination
Emitrust may suspend, restrict or terminate an account where we reasonably believe that a user has violated these Terms, engaged in fraudulent activity, misused AI services, attempted unauthorised access, circumvented security measures, uploaded unlawful content, used stolen payment methods, violated intellectual property rights, engaged in academic misconduct using the Platform, or created multiple accounts for abusive promotional purposes.
Where reasonably practicable, we will provide notice of suspension, except where immediate action is necessary to protect the Platform, users, or comply with legal obligations.
Termination of an account does not automatically entitle a user to a refund or cancellation of financial obligations already incurred.
11. User Responsibilities
You agree to use the Platform lawfully, maintain accurate account information, respect intellectual property rights, protect your login credentials, comply with university and institutional academic policies, respect other users, report security vulnerabilities responsibly, and refrain from activities that interfere with the operation of the Platform.
You remain solely responsible for your academic, professional and legal use of materials obtained from the Platform.
12. Communications
By creating an account, you consent to receive communications relating to account security, purchases, transaction confirmations, password resets, service announcements, policy updates, and customer support responses.
Where permitted by applicable law and subject to your communication preferences, you may also receive newsletters, promotional offers, product updates and marketing communications. You may opt out of marketing communications at any time without affecting essential service-related notices.
13. Reservation of Rights
Nothing in these Terms grants users any ownership interest in the Platform or its content except for the limited rights expressly granted. All rights not expressly granted are reserved by EmitrustX Innovations Ltd.
Part II — Purchases, Digital Downloads, AI Services, Wallet System, Referral Programme, Coupons & Promotions
14. Purchases and Digital Products
Emitrust provides users with access to digital products and services, including research materials, academic templates, seminar materials, project documents, AI-powered tools, subscriptions, and other digital resources.
By placing an order, you agree that all purchases are subject to availability; prices displayed at the time of purchase shall apply unless an obvious pricing error has occurred; completion of payment does not guarantee acceptance of an order where fraud, technical errors, or legal restrictions exist; digital products are licensed for your personal use unless expressly stated otherwise; and ownership of intellectual property remains with Emitrust or the applicable rights holder.
Emitrust reserves the right to refuse or cancel any order where there is evidence of fraud, misuse, pricing errors, or violation of these Terms.
15. Digital Downloads
After successful payment, eligible users will receive access to purchased digital content through their account or other approved delivery methods.
You acknowledge that download links may be time-limited or account-restricted, purchased products may be re-downloaded where supported by the Platform, availability of previously purchased content may depend on system maintenance, licensing obligations, or legal requirements, and you are responsible for maintaining copies of downloaded materials where permitted.
You must not share download links, resell downloaded content without written authorization, remove copyright notices, upload purchased materials to public websites or file-sharing services, or circumvent download protections.
16. Emitrust AI Services
Emitrust may provide artificial intelligence services, including research assistance, recommendations, summarization, document analysis, writing support, idea generation, and other AI-powered features.
You acknowledge and agree that AI-generated outputs are produced using automated systems and may contain inaccuracies, omissions, outdated information, or errors; AI outputs are provided for informational and research assistance purposes only; users remain solely responsible for verifying AI-generated information before relying on it; AI outputs do not constitute legal, medical, financial, engineering, or other regulated professional advice; and Emitrust does not guarantee that AI-generated content will satisfy academic, institutional, or professional requirements.
17. Responsible Use of AI
You agree not to use Emitrust AI to generate unlawful content, produce fraudulent documents, create deceptive academic submissions, infringe intellectual property rights, generate malicious software or harmful code, harass, threaten, or abuse others, violate applicable laws or regulations, or circumvent institutional academic integrity policies.
Emitrust reserves the right to monitor, suspend, or restrict AI access where misuse is reasonably suspected.
18. Emitrust Wallet
Emitrust may provide a digital wallet that enables eligible users to deposit funds, receive promotional credits, referral rewards, refunds, or other approved balances.
Wallet balances are intended solely for use within the Platform unless expressly stated otherwise; do not constitute bank deposits; do not earn interest unless specifically provided under a published promotional programme; and may be subject to verification and compliance checks. Users are responsible for safeguarding access to their wallet.
19. Wallet Deposits
Users may fund their wallet using approved payment methods made available on the Platform. Emitrust reserves the right to impose minimum or maximum funding limits, verify funding transactions, reject suspicious deposits, suspend wallet services where fraud is suspected, and comply with anti-money laundering and applicable legal requirements.
Funds credited due to technical errors may be reversed where legally permissible.
20. Wallet Withdrawals
Where wallet withdrawals are supported, eligibility requirements may apply, identity verification may be required, withdrawal limits may apply, and processing times may vary depending on payment providers and regulatory obligations.
Emitrust reserves the right to delay or refuse withdrawals where fraud, abuse, legal restrictions, or unresolved disputes exist.
21. Referral Programme
Eligible users may participate in the Emitrust Referral Programme. Participation is voluntary and subject to these Terms and any additional programme rules published by Emitrust.
Referral rewards may be granted where a new user registers through a valid referral link or code, required eligibility conditions are satisfied, and qualifying transactions are completed. Rewards are not guaranteed unless all programme requirements are fulfilled.
22. Referral Restrictions
Users must not create fake accounts, refer themselves, manipulate referral tracking, use automated systems to generate referrals, purchase referrals, engage in misleading advertising, spam individuals with referral links, or violate advertising laws.
Emitrust reserves the right to remove referral rewards obtained through abuse or fraudulent activity.
23. Affiliate Programme
Where an Affiliate Programme is offered, approved affiliates may promote Emitrust products and services subject to separate affiliate terms. Affiliate commissions are earned only on eligible transactions, may be subject to verification, may be withheld where fraud or policy violations are detected, and may be adjusted for cancellations, refunds, or chargebacks.
Affiliates are independent participants and are not employees, agents, or representatives of Emitrust unless otherwise agreed in writing.
24. Coupons and Promotional Offers
Emitrust may issue promotional codes, coupons, discounts, vouchers, bonus credits, loyalty rewards, or other incentives. Unless expressly stated otherwise, promotions are subject to availability, may expire, cannot be exchanged for cash, may have usage limits, and may apply only to selected products or users.
Emitrust reserves the right to modify or withdraw promotions at any time where reasonably necessary, including to prevent fraud or correct errors.
25. Pricing and Promotional Errors
Despite our best efforts, pricing or promotional errors may occasionally occur. Where an obvious error has occurred, Emitrust reserves the right to cancel affected transactions, correct pricing, refund affected users where appropriate, or offer users the option to proceed at the correct price.
26. Promotional Abuse
Any attempt to exploit promotional offers unfairly — including by creating multiple accounts, using unauthorized automation, colluding with others, or otherwise manipulating promotions — may result in cancellation of promotional benefits, suspension or termination of accounts, reversal of improperly obtained rewards, and additional action where required to protect the Platform or comply with applicable law.
27. Reservation of Rights
Emitrust reserves the right to modify, suspend, discontinue, or replace any purchase feature, AI functionality, wallet service, referral programme, affiliate programme, coupon system, or promotional campaign at any time, provided that such changes are implemented in accordance with applicable law and these Terms.
Part III — Intellectual Property, User Content, Academic Integrity, Acceptable Use, Prohibited Conduct
28. Intellectual Property Rights
Unless otherwise expressly stated, the Platform and all content made available through it are owned by or licensed to EmitrustX Innovations Ltd and are protected by applicable intellectual property laws — including the Emitrust name, logos, and branding; website design and user interface; software and source code; databases and data compilations; AI models and features; research templates, documents, guides, and educational materials; images, graphics, videos, audio, icons; and trademarks, copyrights, trade secrets, and other proprietary rights.
No ownership of these rights is transferred to you through your use of the Platform.
29. Limited Licence
Subject to your compliance with these Terms, Emitrust grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for lawful personal, educational, or internal business purposes.
This licence does not permit you to copy or reproduce Platform content except where expressly permitted; modify or create derivative works from proprietary content without authorization; sell, sublicense, rent, lease, or commercially exploit Platform content; reverse engineer or attempt to extract source code except where permitted by law; or remove copyright, trademark, or proprietary notices.
30. User Content
Some Platform features may allow users to upload, submit, or publish content, including documents, comments, reviews, feedback, or other materials ("User Content"). You retain ownership of your User Content.
However, by submitting User Content, you grant Emitrust a non-exclusive, worldwide, royalty-free licence to host and store the content, display it where necessary to provide the services, process it using Platform technologies including AI features where applicable, create backups, improve Platform functionality, and comply with legal obligations. This licence continues only for as long as reasonably necessary to operate the relevant services or comply with legal obligations.
31. Responsibility for User Content
You are solely responsible for all content that you upload or submit. You represent and warrant that you own the content or have the legal right to upload it, the content does not infringe intellectual property rights, the content is accurate to the best of your knowledge, and uploading it does not violate any law or contractual obligation.
Emitrust is not responsible for User Content created or uploaded by users.
32. Academic Integrity
Emitrust strongly supports ethical research and academic integrity. Our Platform is intended to assist learning, research, reference, idea development, and academic productivity.
Users agree to comply with university regulations, institutional academic integrity policies, examination rules, copyright laws, and professional ethical standards. Users remain solely responsible for ensuring that work submitted to educational institutions complies with applicable academic requirements.
33. Academic Use of AI
AI-generated outputs are intended to support research and learning. Users should independently verify AI-generated information, properly edit and personalise AI-generated drafts, cite sources where required, and follow institutional guidelines regarding AI use.
Emitrust does not guarantee that AI-generated content is original, error-free, or acceptable for academic submission.
34. Plagiarism
Users must not use the Platform to commit plagiarism, misrepresent another person's work as their own, circumvent plagiarism detection systems, or submit purchased or AI-generated materials as original work where prohibited by institutional rules.
Any plagiarism-related consequences remain the sole responsibility of the user. Emitrust disclaims liability for disciplinary or academic actions arising from misuse of Platform resources.
35. Acceptable Use
Users agree to use the Platform responsibly and lawfully — respecting other users, protecting account credentials, using services only for lawful purposes, reporting security vulnerabilities responsibly, respecting intellectual property rights, using AI services ethically, and following applicable laws and regulations.
36. Prohibited Conduct
You must not engage in fraud or deception; impersonate another individual or organisation; upload malware, ransomware, viruses, or malicious software; attempt to gain unauthorised access to the Platform; circumvent security measures; interfere with Platform operations; scrape, harvest, or systematically extract Platform data without written permission; use bots or automated systems except where expressly authorised; engage in money laundering or financial fraud; upload unlawful, defamatory, obscene, hateful, discriminatory, or infringing content; harass, threaten, stalk, or abuse other users; or use the Platform in violation of applicable law.
37. Platform Security
Users must not attempt to probe or test Platform vulnerabilities without authorization, launch denial-of-service attacks, intercept communications, bypass authentication systems, manipulate payment systems, or exploit software bugs for personal gain.
Responsible disclosure of genuine security vulnerabilities is encouraged through our designated security contact.
38. Copyright Infringement
Emitrust respects intellectual property rights. If you believe that material available on the Platform infringes your copyright or other intellectual property rights, you may submit a written notice including your contact information, identification of the copyrighted work, identification of the allegedly infringing material, a statement that you have a good-faith belief the use is unauthorized, a statement that the information provided is accurate, and your signature or authorized electronic equivalent.
Upon receipt of a valid notice, Emitrust may investigate and take appropriate action, including removal or restriction of the material where warranted.
39. Feedback
If you provide suggestions, ideas, feature requests, or other feedback regarding the Platform, you agree that Emitrust may use such feedback without obligation to compensate you, unless otherwise agreed in writing. Providing feedback does not transfer ownership of your existing intellectual property.
40. Monitoring and Enforcement
To protect the Platform and its users, Emitrust may, where permitted by applicable law, investigate suspected violations of these Terms, remove or restrict content, suspend or terminate accounts, cooperate with law enforcement or regulatory authorities, and preserve evidence where legally required.
41. Reservation of Rights
Nothing in this Part limits Emitrust's rights to protect its intellectual property, technology, reputation, users, or services through lawful technical, contractual, or legal means.
Part IV — Payments, Pricing, Taxes, Refunds, Subscriptions, Billing and Service Availability
42. Payments
Emitrust offers both free and paid products and services. By purchasing any paid product or service, you agree to pay all applicable charges displayed at the time of purchase.
Payments may be processed through approved third-party payment providers, including but not limited to Paystack, Flutterwave, Stripe, or other authorised payment processors.
By making a payment, you represent and warrant that you are authorised to use the selected payment method, the payment information provided is accurate and complete, the transaction does not violate any applicable law, and funds used are from lawful sources.
Emitrust does not store complete debit or credit card information. Payment information is handled by our authorised payment processors in accordance with their respective security standards and privacy policies.
43. Pricing
All prices displayed on the Platform are stated in the applicable currency shown at checkout and may include or exclude taxes, levies, or processing fees depending on your jurisdiction.
Emitrust reserves the right to modify prices at any time, introduce new pricing plans, discontinue promotional pricing, offer regional pricing, provide student or institutional discounts, and correct typographical or technical pricing errors. Price changes do not affect completed purchases unless otherwise required by law.
44. Taxes
You are responsible for any taxes, duties, levies, withholding taxes, or governmental charges applicable to your purchases under the laws of your jurisdiction. Where required by law, Emitrust may collect and remit applicable taxes to the relevant authorities.
45. Billing and Transaction Records
Following a successful payment, Emitrust may provide an electronic receipt, invoice, or transaction confirmation. Users are responsible for reviewing their transaction history and promptly notifying Emitrust of any suspected unauthorised or incorrect transaction.
Transaction records maintained by Emitrust shall, unless proven otherwise, constitute prima facie evidence of transactions carried out through the Platform.
46. Digital Product Delivery
Purchased digital products are generally delivered electronically through the user's account, secure download links, email, or other approved delivery methods.
Delivery times may vary due to payment verification, technical maintenance, internet connectivity, fraud prevention procedures, or third-party service interruptions. Emitrust is not responsible for delays caused by circumstances beyond its reasonable control.
47. Refund Policy
Because most products and services provided through the Platform are digital in nature, all sales are generally considered final once access has been granted or a digital product has been downloaded.
However, Emitrust may, at its sole discretion or where required by applicable law, consider refunds in circumstances such as duplicate payments, multiple accidental purchases of the same product, failure to deliver the purchased product due to a Platform error, corrupted or inaccessible files that cannot reasonably be replaced, unauthorised transactions confirmed after investigation, or technical failures directly attributable to Emitrust.
Refund requests must normally be submitted within the period specified in the applicable Refund Policy published on the Platform. Approval of any refund remains subject to verification and these Terms.

48. Refund Exclusions
Unless otherwise required by applicable law, refunds will generally not be granted where the product has been successfully downloaded or accessed, dissatisfaction relates solely to personal preference, the user failed to review product descriptions before purchase, AI-generated outputs did not meet subjective expectations, academic results or grades did not meet user expectations, the user violated these Terms, or access restrictions resulted from user misconduct.
Nothing in this section limits any non-excludable consumer rights under applicable law.
49. Chargebacks and Payment Disputes
Users agree to contact Emitrust before initiating a chargeback where reasonably practicable. Where a chargeback is initiated, the relevant transaction may be investigated, access to purchased products may be temporarily restricted, wallet balances or promotional rewards associated with the disputed transaction may be suspended, and Emitrust reserves the right to provide evidence to the payment provider in defence of legitimate transactions.
Fraudulent or abusive chargebacks may result in account suspension or termination.
50. Subscription Services
Certain Platform features may be offered on a subscription basis, including access to Emitrust AI, premium research resources, enhanced download limits, advanced productivity tools, exclusive educational content, and other premium services. Subscription benefits are described on the relevant product pages.
51. Subscription Billing
Where a subscription renews automatically, you authorise Emitrust or its payment processor to charge your selected payment method at the applicable renewal date unless cancelled before renewal. Billing frequency may be monthly, quarterly, annually, or another interval disclosed during purchase. Users are responsible for maintaining valid payment information.
52. Subscription Cancellation
Users may cancel eligible subscriptions through their account settings or by contacting customer support. Cancellation generally prevents future renewals but does not automatically entitle the user to a refund for the current billing period unless otherwise required by law or expressly stated in the applicable subscription terms. Access to subscription benefits may continue until the end of the paid subscription period.
53. Promotional Subscriptions
Free trials, discounted subscriptions, introductory offers, and promotional plans may be subject to additional terms, including eligibility requirements, duration limits, automatic conversion to paid subscriptions where disclosed, and usage restrictions.
Emitrust reserves the right to withdraw promotional subscription offers where misuse or fraud is detected.
54. Wallet Payments
Where supported, users may use available wallet balances to purchase eligible products or services. Wallet transactions are subject to sufficient available balance, fraud prevention procedures, verification requirements, and any published wallet terms.
Emitrust may reverse transactions resulting from technical errors, duplicate credits, or fraudulent activity where permitted by law.
55. Service Availability
While Emitrust strives to provide reliable services, uninterrupted access cannot be guaranteed. The Platform may occasionally become unavailable due to scheduled maintenance, emergency maintenance, software updates, security incidents, internet failures, infrastructure upgrades, or third-party service interruptions.
Emitrust will make reasonable efforts to minimise disruptions but does not guarantee uninterrupted availability.
56. Force Majeure
Emitrust shall not be liable for delays or failure to perform obligations resulting from events beyond its reasonable control, including but not limited to natural disasters, epidemics or pandemics, acts of government, war, civil unrest, labour disputes, power failures, telecommunications failures, cyberattacks by third parties, internet outages, or failure of payment processors or cloud infrastructure providers.
Performance of affected obligations may be suspended for the duration of the relevant event.
57. Reservation of Commercial Rights
Emitrust reserves the right to introduce new products and services, discontinue existing offerings, revise pricing structures, establish enterprise or institutional licensing, implement regional pricing, modify subscription features, introduce new payment methods, and improve commercial offerings as the Platform evolves.
Such changes will not affect completed purchases except where required by applicable law or expressly communicated to users.
